Enterprise Employee Code of Conduct & Ethics

1. Ethical Mission Statement

At Nexly.biz (the “Company”), our mission is to redefine the intersection of technology and human potential. This Code of Conduct reflects our commitment to absolute ethical integrity. We believe that professional excellence is inextricably linked to individual accountability and the courage to act with transparency in all global operations.

2. Institutional Values

3. Universal Structural Scope

This Code applies to all Nexly directors, officers, full-time and part-time employees, contractors, and third-party agents representing the Company. It governs behavior in physical offices, remote workspaces, and across all digital communication layers.

4. Conflicts of Interest & Loyalty

Employees must avoid any situation where their personal interests conflict—or appear to conflict—with the best interests of Nexly. This includes unauthorized competitive employment, personal financial stakes in suppliers, or utilizing Company assets for private gain. All potential conflicts must be disclosed to the Ethics Command immediately.

5. Gifts, Hospitality & Bribery Prohibition

We win business based on the merit of our platform, not the extravagance of our gifts. Employees may only accept or provide nominal gifts of standard business courtesy. Any gift exceeding $100 in value must be formally reported and approved. Cash or cash-equivalents are strictly prohibited.

6. Intellectual Property & Confidentiality

Nexly’s proprietary algorithms, market data, and strategic blueprints are our "Institutional Capital." Employees are mandated to protect this information during and after their engagement. Unauthorized disclosure of confidential data is a catastrophic breach of this Code.

7. Inclusion, Respect & Safety

We maintain a zero-tolerance mandate for discrimination, harassment, and bullying. Every Nexly citizen has the right to a workplace free from hostitility. We empower employees to bring their full diverse identities into our cognitive network, recognizing that difference is an engine of innovation.

8. Public Representation & Social Presence

Employees must distinguish between personal opinions and official Company positions. Only authorized spokespersons may communicate on behalf of Nexly to the media or institutional investors. Personal social media use should reflect the professional standards associated with being a Nexly representative.

9. Substance Integrity & Workplace Safety

Nexly is a high-performance environment that requires absolute cognitive clarity. The use of illegal drugs or the abuse of alcohol during work hours or while representing the Company is strictly prohibited. We prioritize the physical and mental safety of our workforce at all times.

10. Mandated Duty to Report

If you observe conduct that violates this Code or any applicable law, you have a professional responsibility to report it. Silence in the face of misconduct erodes our collective culture. Reports can be made through the management chain or via our secure Ethics Portal.

11. Whistleblower Protection Protocol

Nexly provides absolute immunity from retaliation for any individual who reports a suspected violation in good faith. We treat any retaliatory act as a primary violation of the Code, leading to immediate disciplinary action against the retaliating party.

12. Disciplinary Logic & Sanctions

Violations of this Code are taken seriously. Disciplinary measures range from formal warnings and performance coaching to immediate permanent dismissal and, where applicable, legal prosecution.
