Enterprise Global Confidentiality & Non-Disclosure (NDA) Policy

1. Confidentiality & Integrity Mission

Nexly.biz (the “Company”) operates in a high-stakes environment where information is our primary currency. Our mission is to maintain an unbreakable perimeter around our proprietary logic, client metadata, and institutional roadmaps. We view confidentiality not as an option, but as a prerequisite for professional trust and architectural excellence.

2. Universal Structural Scope

This policy governs the disclosure and protection of "Confidential Information" across all Nexly interactions, including internal employee conduct, vendor partnerships, investor relations, and strategic mergers. It mandates the use of high-fidelity Non-Disclosure Agreements (NDAs) for any out-of-perimeter communication.

3. Classified Taxonomy & Definitions

"Confidential Information" encompasses all non-public data disclosed by Nexly, including:

  • Technical Intelligence: Source code, algorithm architectures, and security protocols.
  • Business Intelligence: Strategic plans, financial projections, and marketplace analytics.
  • User Intelligence: Individual learner profiles, billing records, and behavioral telemetry.

4. NDA Modalities: One-Way vs. Mutual

Nexly utilizes two primary NDA frameworks:

  • One-Way NDA: Typically utilized for vendor evaluations where only Nexly-proprietary data is shared.
  • Mutual NDA (MNDA): Utilized for strategic partnerships and co-innovation cycles where both parties exchange sensitive logic packets.

5. Receiving Party Handling Obligations

Partners receiving Nexly information are mandated to exercise at least the same degree of care as they use to protect their own sensitive assets, but never less than a "Reasonable Degree of Care." This includes technical isolation and restricting access to "Required Personnel" who have signed similar integrity pledges.

6. Permitted Triage & Disclosure Exemptions

Information is not considered confidential if it is already in the public domain, independently developed without access to Nexly assets, or disclosed via a terminal legal mandate (e.g., subpoena). In cases of legal compulsion, the disclosing party must notify Nexly immediately to allow for a Protective Order request.

7. Physical Terminals & Workspace Hygiene

Confidentially extends to the physical layer. We enforce "Clean Desk" protocols for all on-site and remote employees. Sensitive documents must be shredded, and terminal screens must be locked or shielded when in public or shared co-working nodes.

8. Digital Sanitization & Asset Return

Upon termination of a partnership or employment, all Nexly confidential assets must be forensically returned or destroyed. The receiving party must provide a "Written Certification of Sanitization" confirming that no Nexly-proprietary bytes remain on their local or cloud storage nodes.

9. Post-Terminal Persistence (Survival)

The obligation to maintain confidentiality survives the termination of the underlying agreement. For Trade Secrets, the obligation persists indefinitely; for general confidential data, it persists for a minimum of five (5) years post-dissociation.

10. Violation Discovery & Triage

Suspected breaches of confidentiality are triaged by our "Legal Integrity Bureau" within 12 hours. We maintain a "Breach Ledger" and will provide notice to impacted stakeholders if a leakage of personal identifiers is detected.

11. Injunctive Relief & Accountability

Because a breach of confidentiality causes irreparable damage that cannot be cured by monetary compensation alone, Nexly reserves the right to seek immediate "Injunctive Relief" in any court of competent jurisdiction to halt further unauthorized disclosure.

12. Jurisdictional Logic (Choice of Law)

All Nexly NDAs are governed by the laws of the jurisdiction of Nexly’s primary operating node (e.g., European Union/Dubai), unless specifically negotiated otherwise for high-value strategic partnerships.
